• Fraud, abuse, or any unauthorized action relating to the credit card transaction or the participation in the Promo may result in the disqualification of the Cardholder from the Promo, or suspension or cancellation of the Card privileges at UnionBank’s discretion. This shall be without prejudice to any legal action that may be taken by UnionBank.
• The Cardholder agrees that the continued use of the UnionBank Credit Card shall be his/her acceptance and Agreement to be bound by the provisions of the Bank’s Data Privacy Statement (DPS) found at https://www.unionbankph.com/privacy-security.
• By availing the Promo offer, the Cardholder is responsible for providing his/her personal information and other information that may be required to the Merchant and agrees that such information shall be subject to the confidentiality, data privacy, and security terms of the Merchant. The general terms and conditions of the Merchant apply.
• Any amendment in the Terms and Conditions governing the Promo is subject to prior Department of Trade and Industry (DTI) approval.
• In case of dispute regarding the Promo, including but not limited to the Promo Period, Promo Offer, Eligibility Criteria, and Promo Mechanics, UnionBank’s decision with the concurrence of DTI shall be considered final. Disputes concerning the Promo will only be considered valid if submitted within sixty (60) banking days after the end of the Promo Period. DATA PRIVACY PROVISIONS

In connection with any Personal Information provided by the Disclosing Party to the Receiving Party during the term of this Agreement, whether directly or indirectly, or which may come to the knowledge of the Parties and/or may be acquired by the Parties in the course of its dealings with each other during the term of this Agreement, the Receiving Party shall:

1. Comply with the DPA, its Implementing Rules and Regulations, and all other relevant data protection laws, rules, and regulations;

2. Enter into and execute a Data Processing Addendum provided by the Disclosing Party prior to the disclosure or transfer of Personal Information or personal data from Singapore by the Disclosing Party.

3. Take such steps as may be necessary to ensure that such Personal Information is not disclosed by its past or present officers, employees, representatives, and/or agents;

4. Take such organizational, physical, and technical security measures against unauthorized and/or unlawful access to, collection, sharing, or processing of, or damage to such Personal Information;

5. At all times, assist the Disclosing Party in ensuring compliance with the DPA and other relevant data protection laws, rules, and regulations;

6. Reasonably cooperate with, and assist the Disclosing Party in respect of any threat to, or compromise of, the confidentiality, integrity, or availability of the Personal Information, and communication requests, objections, or any other communications received from data subjects or regulatory authorities; and

7. Provide the Disclosing Party all available information necessary to demonstrate compliance with the obligations laid down in the DPA, its implementing rules and regulations, or any issuance of the National Privacy Commission, and for the same purpose, assist in and allow the conduct of audit, including inspections, conducted by the Disclosing Party through its authorized representatives.

The Disclosing Party represents and warrants that any Personal Information it transfers or discloses to the Receiving Party in connection with this Agreement has been obtained with the necessary consent from the relevant individuals or data subjects or that it otherwise has the legitimate right under relevant data protection laws and regulations to provide such data to the Receiving Party. In the event of the Disclosing Party’s failure to comply with its obligation to secure consent from the relevant individuals or data subjects, or in the event that the Disclosing Party does not have the legitimate right to provide such data to the Receiving Party, the Disclosing Party shall fully indemnify the Receiving Party for liabilities or damages as it may incur or suffer by reason of its receipt of such Personal Information.
